These Terms of Use (“Terms”) govern the use of the public website and confidential wholesale catalog operated by Red Beard Remedy, LLC (“Wholesaler,” “we,” “us,” or “our”). By visiting the Website, creating an account, registering for wholesale access, or accessing the wholesale catalog, you (“User,” “you,” “Purchasing Company,” or “Vendor/Supplier”) agree to these Terms.
1. Website Access and Registration
1.1 Public Website
Certain portions of the Website are publicly accessible and may be viewed without creating an account. Public sections may include informational content about the Wholesaler, Vendors, and products but will not include wholesale pricing or restricted catalog materials.
1.2 Two-Phase Access System
Access to the wholesale catalog is controlled through a two-phase registration process.
Phase 1 – Website Account Creation
Users may create a basic website account to access general website features. Creating an account does not grant access to the wholesale catalog, pricing, or ordering capabilities.
Phase 2 – Wholesale Catalog Registration
Users seeking access to the wholesale catalog must complete the Wholesale Catalog Registration Form and receive approval from the Wholesaler.
Approval is granted at the sole discretion of the Wholesaler. Completion of the registration form does not guarantee approval.
2. Account Types and Access Levels
2.1 Purchasing Companies
A Purchasing Company is a business seeking to purchase products through the wholesale catalog for resale or business use.
Approved Purchasing Companies may receive access to:
- wholesale product listings
- product availability information
- wholesale pricing
- ordering functionality
Access may include the full catalog or limited vendor selections depending on vendor restrictions or Wholesaler discretion.
2.2 Vendors / Suppliers
A Vendor or Supplier is a company that provides products to the Wholesaler for distribution to Purchasing Companies.
Vendor access is limited to:
- their own vendor pages
- their own product listings
- product information submitted to the catalog
Vendors will not have visibility into other vendors’ products, pricing, or purchasing companies.
2.3 Dual Roles
A company may act as both a Vendor and a Purchasing Company. The Wholesaler will determine the appropriate access level for each role.
3. Approval and Access Discretion
3.1 Approval Authority
All wholesale catalog approvals are made solely at the discretion of the Wholesaler.
3.2 Vendor Distribution Restrictions
Certain Vendors may limit which Purchasing Companies are permitted to access or purchase their products. The Wholesaler reserves the right to enforce such restrictions within the catalog.
3.3 Changes to Access
The Wholesaler may modify, limit, suspend, or terminate catalog access at any time without prior notice.
4. Account Security
Users are responsible for maintaining the confidentiality of their login credentials.
Users may not share accounts or allow unauthorized individuals to access the wholesale catalog.
Users must notify the Wholesaler immediately if unauthorized account activity is suspected.
5. Use of the Wholesale Catalog
5.1 Authorized Use
The wholesale catalog is intended solely for legitimate wholesale purchasing activity.
5.2 Vendor Use
Vendors may access the catalog only to review their own listings and provide product updates.
5.3 Prohibited Activities
Users may not:
- scrape or copy catalog data
- reproduce catalog content
- use catalog information for competitive research
- contact other vendors or buyers through the catalog without authorization
6. Confidentiality of Wholesale Information
The wholesale catalog contains confidential business information including:
- wholesale pricing
- vendor relationships
- product sourcing information
- distribution structures
Users agree not to disclose, share, reproduce, or distribute wholesale catalog information without prior written consent from the Wholesaler.
Wholesale pricing may not be publicly published except where necessary for MAP-compliant retail listings.
Unauthorized disclosure may result in immediate termination of catalog access and legal action.
7. Product Orders and Payment (Purchasing Companies)
Orders must be placed through the approved wholesale ordering system unless otherwise authorized.
Orders become final upon submission.
Payment must be received in full prior to shipment unless alternative payment terms are approved in writing.
The Wholesaler reserves the right to reject any order at its sole discretion.
8. Product Fulfillment and Shipping
Products ordered through the wholesale catalog may be fulfilled through one or more of the following methods:
- shipment by Red Beard Remedy, LLC
- shipment by third-party freight carriers
- Vendor drop shipment, where the Vendor ships directly to the Purchasing Company
The Wholesaler determines the fulfillment method for each order.
Vendors are responsible for fulfillment accuracy when drop shipping products.
The Wholesaler is not liable for shipping delays, damages, or failures caused by vendors or third-party carriers but may assist in resolving issues.
Risk of loss transfers to the Purchasing Company once products are delivered to the carrier or delivery service.
For deliveries performed by the Wholesaler, risk transfers upon delivery to the Purchasing Company.
Shipping timelines are estimates and are not guaranteed.
9. Minimum Orders and Retail Pricing
Minimum wholesale order: $2,000, $500 for local orders within 100 miles of our headquarters in Young Harris, Georgia, unless waived by the Wholesaler.
Vendor-specific minimums may apply.
Purchasing Companies must comply with Minimum Advertised Price (MAP) policies where applicable.
Failure to comply with MAP policies may result in suspension or termination of catalog access.
10. Returns and Damage Claims
All wholesale sales are final except for verified shipping damage.
Damage claims must be submitted within 5 days of delivery with supporting photographs.
Approved claims may result in credit, replacement, or other remedy at the Wholesaler’s discretion.
11. Vendor Relationships
11.1 Separate Vendor Agreements
Vendor participation in the catalog may also be governed by separate agreements covering pricing, commissions, fulfillment responsibilities, and payment terms.
11.2 No Guarantee of Sales
Inclusion in the wholesale catalog does not guarantee sales or continued placement.
11.3 Vendor Responsibilities
Vendors are responsible for:
- accurate product information
- inventory updates
- regulatory compliance
- product safety
11.4 Vendor Product Liability and Compliance
Vendors warrant that their products comply with all applicable laws and do not infringe on intellectual property rights.
Vendors agree to indemnify and hold harmless Red Beard Remedy, LLC from claims arising from:
- product defects
- safety issues
- regulatory violations
- intellectual property infringement
- misrepresentation of products
11.5 Vendor Insurance Requirement
Vendors are responsible for maintaining appropriate commercial general liability and product liability insurance.
Proof of insurance may be requested by the Wholesaler.
Failure to maintain adequate insurance may result in suspension or removal from the catalog.
11.6 Non-Circumvention of Vendor Relationships
Purchasing Companies agree not to bypass the Wholesaler by purchasing directly from Vendors introduced through the catalog or Wholesaler communications.
A Vendor is considered introduced if discovered through:
- the wholesale catalog
- vendor pages
- communications from the Wholesaler
- marketing materials
- trade show introductions facilitated by the Wholesaler
This restriction applies while a Purchasing Company maintains an account and for 24 months after their last catalog access or order.
Pre-Existing Relationships
If a Purchasing Company and Vendor had an established relationship prior to involvement with the Wholesaler, that relationship may continue independently. The Wholesaler will not interfere unless either party requests assistance with distribution or logistics.
Catalog Content Protection
Users may not share, screenshot, distribute, or forward catalog information for the purpose of enabling others to bypass the Wholesaler.
Violations may result in account termination and legal action.
11.7 Distributor Margins and Commissions
The Wholesaler may earn revenue through product margins, commissions, distribution fees, or service fees related to products listed in the catalog.
Vendors acknowledge that the Wholesaler may establish resale pricing or distribution structures necessary to operate the wholesale platform.

13. Shopify Hosting
The Website is hosted by Shopify Inc.
Use of the Website is subject to Shopify’s Terms of Service:

The Wholesaler is not responsible for outages or platform disruptions caused by Shopify.
14. Termination of Access
The Wholesaler may suspend or terminate any account at any time.
Orders placed prior to termination remain payable.
15. Limitation of Liability
The Wholesaler shall not be liable for indirect or consequential damages.
Maximum liability shall not exceed the total amount paid to the Wholesaler within the three months preceding the claim.
16. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Georgia.
Disputes shall be resolved through binding arbitration administered by the American Arbitration Association in Georgia.
17. Changes to Terms
The Wholesaler may modify these Terms at any time.
Continued use of the Website or catalog constitutes acceptance of updated Terms.

By creating an account, registering for wholesale access, or using the Website or wholesale catalog, you acknowledge that you have read, understood, and agree to these Terms of Use.
